GoKwik’s Earliest ESOP Holders Set to Realise 9x Average Returns as Company Turns Adjusted EBITDA Positive
69 employees to receive ₹7.57 crore through secondary share sale; median payout stands at ₹11.25 lakh

Bengaluru, November 2, 2026:
GoKwik, the commerce enablement platform for direct-to-consumer brands, today announced an employee stock option (ESOP) liquidity programme that will see its earliest ESOP holders realise an average return of approximately nine times their original grant value.
The announcement comes as the company turned Adjusted EBITDA positive in October 2026, based on unaudited management accounts, marking a financial milestone supported by revenue growth, operating leverage and sustained cost discipline.
Under the liquidity programme, 69 employees are set to receive a combined payout of ₹7.57 crore, with a median employee payout of ₹11.25 lakh, subject to customary conditions, including approvals under the company’s shareholder arrangements and execution of the relevant documentation.
The transaction involves existing and new investors purchasing shares from participating employees through a secondary sale, providing an opportunity to monetise part of their equity holdings while retaining ownership in the company.
GoKwik’s ESOP data indicates that employees who have held options for three or more years are expected to realise approximately three times their original grant value on average. The multiple increases to about 4.5 times for employees with four or more years of ESOP ownership.
The earliest cohort is expected to realise approximately nine times its original grant value on average. A majority of the longest-standing cohort has returns of 10 times or more, reflecting the value created for employees who joined during the company’s initial years.
The liquidity programme comes alongside GoKwik’s improving financial performance. The company reported that its revenue nearly doubled year on year, driven by growth across its commerce enablement offerings, including checkout, shipping, return-to-origin reduction, WhatsApp commerce and performance marketing.
The expansion of its product portfolio, combined with operating efficiencies and cost discipline, helped GoKwik turn Adjusted EBITDA positive in October 2026, based on unaudited management accounts.
“A company like ours runs on the people who joined when the product was a bet, not a business. Turning Adjusted EBITDA positive and giving employees a way to realise part of the value they built are two sides of the same commitment,” said Chirag Taneja, Co-founder and CEO, GoKwik.
“We want employees to participate meaningfully in the value they help create, without having to wait indefinitely for a liquidity event,” he added.
Of the 133 employees eligible under the programme’s framework, 69 are participating in the payout.
The programme has been structured to accommodate employees with smaller holdings, while allowing participants to decide how much of their eligible vested equity they wish to sell within the prescribed limits.
Employee ownership remains an important component of GoKwik’s compensation philosophy. More than 60% of active ESOP holders have received multiple grants, while over 40% have received at least three grants.
Among employees with four or more years of ESOP ownership, more than 90% have received multiple grants, reflecting the company’s practice of rewarding long-term contributions through additional equity allocations.
The programme also enables employees to access liquidity without fully exiting their ownership positions. More than 97% of active ESOP holders continue to hold unvested options, allowing them to participate in the company’s future growth.
The secondary transaction is expected to conclude in November 2026, subject to customary approvals and completion of transaction documentation.
The purchase consideration will be paid to participating employees, with no primary capital being raised by GoKwik through the transaction.
