Hindustan Coca-Cola Holdings Ltd (HCCH), the parent company of Coca-Cola’s primary Indian bottling business, has filed draft red herring prospectus (DRHP) papers with the Securities and Exchange Board of India for an initial public offering comprising an offer for sale of up to 99,74,61,456 equity shares.

The selling promoter, Hindustan Coca-Cola Overseas Holdings Pte. Ltd, plans to offload up to 99.75 crore shares with a face value of Rs 10 each, paring its stake in HCCH from 60 per cent down to approximately 45 per cent. Because the entire public issue is structured as an offer for sale, HCCH will receive no proceeds from the listing, with all net proceeds flowing directly to the promoter selling shareholder. Jubilant Beverages, which acquired a 40 per cent stake in the company for Rs 12,500 crore in July 2025 and serves as co-promoter, will not sell any shares in the transaction. While the draft papers do not specify a price band or final issue size, earlier market estimates indicate the offer could raise around $1 billion (Rs 9,500 crore) at a target valuation of $10 billion.

Why it matters to investors and FMCG operators

For public market investors and consumer sector operators, HCCH’s filing represents one of the largest prospective listings in India's fast-moving consumer goods sector. The move reflects a broader trend of multinational corporations unlocking value from mature Indian subsidiaries through local public listings without diluting operational control.

For FMCG competitors and bottling partners, the filing provides detailed baseline metrics on regional beverage distribution efficiency, unit margins, and distribution reach across southern and western India. The listing also allows domestic equity investors direct participation in India's growing non-alcoholic ready-to-drink beverage sector.

Financial performance and Q1 FY27 figures

For the quarter ended June 30, 2026, HCCH reported revenue from operations of Rs 4,310.17 crore for its retained units, registering a 20.46 per cent year-on-year growth. Total sales volume over the same three-month period grew 18.61 per cent.

The company's EBITDA margin, excluding other income and exceptional items, expanded to 17.20 per cent for the June quarter compared to 13.76 per cent in the corresponding period of the previous year.

Distribution footprint and brand leadership

HCCH executes its bottling operations through its material subsidiary, Hindustan Coca-Cola Beverages Pvt. Ltd (HCCB). Headquartered in Bengaluru and incorporated in February 1997, HCCB manages 14 manufacturing facilities, eight co-pack units, and 90 bottling lines operating across 10 states and four Union Territories.

As of June 30, 2026, the company’s distribution footprint reached approximately 1.7 million retail outlets serviced by 2,273 distributors. HCCH’s portfolio comprised 41 beverage products across sparkling drinks, hydration products, and still beverages, including juices. Key brands manufactured and distributed include Coca-Cola, Thums Up, Sprite, Fanta, Maaza, Minute Maid, SmartWater, Kinley, Limca, and products licensed from Monster Beverage Corporation.

According to data from the TKC Report cited in the DRHP, HCCH was the largest non-alcoholic ready-to-drink (NARTD) beverage company operating exclusively in India by revenue in FY26. It was also the largest bottler within the Coca-Cola system in India by concentrate volume sold. The report highlighted that Coca-Cola System brands commanded a 37.2 per cent value market share in key select states during the 12-month period ended June 30, 2026, exceeding three times the share of its nearest competitor.

Asset-light strategy and market outlook

The stock market listing fits into The Coca-Cola Company’s global capital allocation strategy, which focuses on divesting capital-heavy bottling infrastructure to focus on brand management, product innovation, and marketing.

In 2024, Coca-Cola refranchised its bottling operations across Rajasthan, Bihar, the Northeast, and portions of West Bengal to three existing bottling partners: Kandhari Global Beverages, SLMG Beverages, and Moon Beverages. That refranchising initiative generated $290 million (approximately Rs 2,420 crore) for the parent company.

India remains Coca-Cola’s fifth-largest market globally by unit case volume and was the single largest aggregate contributor to volume growth across the global Coca-Cola system between 2021 and 2025. Data from the TKC Report estimates the NARTD beverage market in HCCH’s primary operating states at Rs 63,730 crore in FY26, with projections forecasting expansion to Rs 1.18 lakh crore by FY31 at a compound annual growth rate of 13.17 per cent.

Listing logistics and lead managers

The proposed listing on the BSE and NSE follows Coca-Cola’s earlier announcement in June that it was exploring a potential stock market listing for HCCH in 2027.

The public offer will be managed by a book-running lead manager syndicate including Kotak Mahindra Capital Company, Citigroup Global Markets India, J.P. Morgan India, Morgan Stanley India Company, Axis Capital, Goldman Sachs (India) Securities, and IIFL Capital Services. KFin Technologies has been appointed as registrar to the issue.
